TERMS AND CONDITIONS

The following terms and conditions exist for any individual or professional organization desiring to network in the Chicago area (“Networker”) who subscribes to www.TheProNetworker.com, the “Website” of The Professional Networker, Inc. (“Company”) and thereafter becomes a “Member”.

1. The listing of any professional networking organization (“Organization”) and its respective networking events on the Website does not constitute or imply the endorsement, recommendation, or favoring of Company.

2. Company presents the information on the Website as a service.

3. Company posts an Organization’s information on the website “As Is”. Company relies on information provided by each Organization. Company has no obligation to verify an Organization’s information. In the event that an Organization changes the date, place, and/or time of any event already posted on the Website, Company is not responsible for such changes. Company will not be liable for damages incurred directly or indirectly by Networker as a result of any errors, omissions or discrepancies in any Organization’s information listed on the Website. In the event that you find any errors or omissions in such information, we encourage you to report them to the Website’s contact person.

4. Company uses its best efforts to provide content on the Website that: (a) is lawful, not libelous, not abusive, not obscene, not discriminatory, or otherwise objectionable; (b) does not infringe upon patents, trademarks, trade secrets, copyrights or other proprietary rights; and (c) does not list an e-commerce address of or link to a website that contains any software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

5. Networker may not use the Website unless Networker has become a “Member”.

6. To the fullest extent permitted by law, Networker hereby fully and without limitation covenants not to sue Company, Company’s directors, officers, employees, and agents, for the Website, including, but not limited to, the information posted thereon, or for any other reason whatsoever. In addition, Networker hereby fully and without limitation releases Company, Company’s directors, officers, employees, and agents from any and all rights, claims, demands, liabilities, actions and causes of action, whether in law or in equity, suits, damages, losses, attorneys' fees, costs, and expenses, of whatever nature whatsoever, known or unknown, fixed or contingent, suspected or unsuspected that Networker now has, or may ever have, against Company, Company’s directors, officers, employees, and agents, for the Website, including, but not limited to, information posted thereon, or for any other reason whatsoever existing prior to or after Networker’s becoming a “Member”. This covenant not to sue and release will survive Networker’s or Company’s termination of Networker’s subscription to the Website.

7. Company will not be liable for any loss of Networker’s business or profits, or for any direct, indirect, incidental, consequential, special, exemplary and punitive, or similar damages, or, for claims of damages made by any third party for any cause whatsoever, whether such claims are based on warranty, contract, tort (including negligence), or otherwise, arising our of the Website, even if Company has been advised of the possibility of such damages. Such limitation of liability will apply regardless of whether damages are incurred by third parties and regardless of whether damages arise from the use or misuse of and reliance on any information listed on the Website or Company’s services in general, or from the interruption, suspension or termination of the Website or Company’s services in general. The foregoing limitation of liability will apply to the fullest extent permitted by law.

8. Company disclaims TO THE FULLEST EXTENT PERMITTED BY LAW all warranties of any kind, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, freedom from contamination by computer viruses, and non-infringement of proprietary rights.

9. COMPANY disclaims any and all responsibility or liability for the accuracy, content, completeness, TIMELINESS, legality, reliability, USE, MISUSE, or operability or availability of any Organization’s information displayed on the Website. COMPANY DISCLAIMS THAT THE WEBSITE wILL BE UNINTERRUPTED OR ERROR FREE. Company disclaims any responsibility for the deletion, failure to store, misdelivery, or untimely delivery of any such information THAT MAY RESULT, directly or indirectly, from acts of nature, forces, or causes beyond cOMPANY’S reasonable control, including, BUT NOT LIMITED TO, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.

10. COMPANY, ITS directors, officers, employees and agents: (a) are not liable for any improper or incorrect use of any information on the website; (b) assume no responsibility for any NETWORKER’S use of ANY information on the website; and (c) are not liable for any damages (of any type, for any reason, however caused, or under any theory of liability) arising in any way out of the use of the website, even if advised of the possibility of that damage.

11. Company reserves the right to make changes and improvements to the Website at any time and without notice.

12. Any unauthorized downloading and distribution of any copyrighted material from the Website or sites to which we link, without the respective copyright owner's permission, is strictly prohibited.

13. Use of the Website is governed by the laws of the State of Illinois.
